Welcome to FineChem.net. These Terms of Service ("Terms") form a legally binding agreement between you and the operator of FineChem.net ("FineChem", "we", "us" or "our") and govern your access to and use of the FineChem.net website, mobile pages, tools and related services (together, the "Platform").
By accessing, registering for or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Platform.
1. About the Platform
1.1 What we provide
FineChem.net is a business-to-business information and trade-enablement platform for the chemical industry. The Platform allows users to create company profiles, publish and browse product listings, post and respond to supply, demand and request-for-quotation ("RFQ") notices, exchange trade documents, and access industry news, exhibition and regulatory information.
1.2 Our role
Unless expressly stated otherwise in writing, FineChem acts solely as an information intermediary and technology provider. We are not a party to any transaction between users, do not act as buyer, seller, broker, agent or escrow provider, do not take title to any goods, and do not guarantee the existence, quality, safety, legality, specifications, delivery or payment of any product or service offered through the Platform.
1.3 No professional advice
Information on the Platform, including product data, regulatory summaries, news, exhibition listings and compliance tools, is provided for general information only. It is not legal, regulatory, safety, customs, tax or investment advice and must not be relied on as a substitute for professional advice or current official sources.
2. Eligibility and Accounts
2.1 Eligibility
The Platform is intended for business and professional users. You must be at least 18 years old and legally capable of entering into binding contracts, and you must have authority to bind any company or organisation you represent. The Platform is not intended for, and may not be used by, anyone under 18.
2.2 Registration
To access certain features you must register an account and provide accurate, current and complete information. You agree to keep your account information up to date and to complete any verification or compliance review we request. We may refuse, suspend or close accounts where information cannot be verified or where we reasonably believe there is a risk of fraud, misuse or legal non-compliance.
2.3 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at bd@finechem.net if you suspect unauthorised access or any other security incident. We may suspend access to protect your account or the Platform.
2.4 Account closure
You may stop using the Platform and request closure of your account at any time. We may suspend or terminate your account if you breach these Terms, if required by law or a competent authority, or if continuing to provide access would expose us, other users or third parties to risk. Provisions that by their nature should survive termination will continue to apply.
3. Third-Party Sign-In (including Google)
3.1 Signing in with Google
You may choose to create or access a FineChem.net account using "Continue with Google". If you do so, Google will ask you to authorise the sharing of basic profile information with us under the openid, email and profile scopes. We receive and store your verified email address and display name, and use them to create a FineChem.net account or to link your Google sign-in to an existing account registered with the same email address.
3.2 What we do not receive
We never receive or store your Google password. We do not request or obtain access to Gmail, Google Drive, Google Contacts, Google Calendar or any other Google service, and we do not use Google user data for advertising or sell it to anyone.
3.3 Your responsibilities and revocation
You are responsible for the Google account you use and for complying with Google's terms and policies. If you no longer want FineChem.net to have access to your Google profile information, you can revoke access at myaccount.google.com/permissions. After revocation you may continue to access your account using the password reset process, where an email address is registered. See our Privacy Policy for full details of how we handle Google sign-in data.
4. Acceptable Use
You must use the Platform in compliance with all applicable laws and regulations. You must not, and must not permit any third party to:
- post false, misleading, deceptive or fraudulent information, or impersonate any person or organisation;
- offer, advertise or trade substances, products or services that are unlawful, prohibited, or that you are not licensed or authorised to handle;
- circumvent sanctions, export controls, import or export licensing requirements, or engage in money laundering, terrorist financing or bribery;
- infringe intellectual property, confidentiality or privacy rights;
- upload viruses, malware or any code designed to disrupt, damage or gain unauthorised access to systems;
- scrape, crawl, harvest or bulk-extract data, or use automated means to access the Platform without our prior written consent;
- send unsolicited commercial communications, spam or phishing messages to other users;
- interfere with the operation or security of the Platform, probe or test its vulnerability, or bypass access controls or usage limits;
- use the Platform to develop a competing product or service, or copy its content, structure or database.
We may investigate suspected breaches, remove content, restrict or terminate accounts, and report conduct to law enforcement or regulators where appropriate.
5. Chemical Products, Trade Compliance and User Responsibilities
5.1 Product information
Users who publish product listings are responsible for ensuring that all information is accurate and complete, including product name, CAS number, grade, concentration, specification, packaging, available documentation and any hazard or handling information. Listings must not omit material information or misrepresent a product's origin, certification or suitability for a particular use.
5.2 Regulatory compliance
Buyers and sellers are solely responsible for complying with all laws and regulations applicable to their products, markets and transactions, including chemical registration and notification requirements, classification and labelling rules (such as GHS), safety data sheet obligations, dangerous goods transport rules, import and export controls, sanctions, precursor and controlled-substance restrictions, and environmental and waste rules. You must obtain your own legal, regulatory and technical advice for each transaction.
5.3 Documentation and end use
We may request safety data sheets ("SDS"), technical data sheets ("TDS"), certificates of analysis ("COA"), licences, end-use declarations, end-user statements or other documentation before or after a listing is published. Failure to provide satisfactory documentation may result in removal of content or suspension of the account. Buyers are responsible for ensuring that products are used lawfully and safely and are not diverted to prohibited uses or destinations.
5.4 No verification guarantee
Any verification badge, review status or company check displayed on the Platform indicates only that we have completed the steps described at the relevant time. It is not a guarantee of a user's identity, solvency, capability, product quality or legal compliance, and does not transfer any responsibility from the users involved in a transaction.
6. User Content
6.1 Ownership
You retain ownership of the content you submit to the Platform, including company information, product listings, images, documents and messages ("User Content").
6.2 Licence to FineChem
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, adapt, translate, display, distribute and promote your User Content as necessary to operate, provide, secure and market the Platform. This licence ends when your User Content is deleted from the Platform, except for copies retained in backups, legal records or content already shared with other users.
6.3 Your representations
You represent and warrant that you own or have all necessary rights and permissions to submit your User Content, that it is accurate and lawful, and that our use of it as described in these Terms does not infringe any third-party right.
6.4 Moderation
We may review, edit, refuse to publish or remove User Content that we reasonably consider unlawful, misleading, infringing, unsafe or otherwise inconsistent with these Terms. We are not obliged to monitor all content and do not endorse any User Content.
7. Intellectual Property
The Platform, including its software, design, text, graphics, logos, databases and compilation, is owned by FineChem or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your internal business purposes. You must not copy, modify, distribute, sell, sublicense, reverse engineer, extract or create derivative works from the Platform or its content except as expressly permitted by law or with our prior written consent. "FineChem.net" and related marks may not be used without our written permission.
8. Third-Party Content and Links
The Platform may contain links to third-party websites, services, news sources, exhibition organisers and regulatory materials. We do not control and are not responsible for third-party content, products, services, availability or privacy practices. Your dealings with third parties are solely between you and them.
9. Disclaimers
To the maximum extent permitted by applicable law, the Platform and all content are provided "as is" and "as available". We disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security and uninterrupted or error-free operation. We do not warrant that any user, listing, document or piece of information is accurate, current, lawful or suitable for your purposes.
10. Limitation of Liability
To the maximum extent permitted by applicable law, FineChem and its directors, officers, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, data or anticipated savings, arising out of or in connection with the Platform, even if we have been advised of the possibility of such damages. Our aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total fees you paid to us for the Platform in the twelve months preceding the event giving rise to the claim, or (b) USD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.
11. Indemnity
You agree to indemnify, defend and hold harmless FineChem and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to your User Content, your products or transactions, your breach of these Terms, or your violation of any law or third-party right.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Where you provide personal information about another person, you are responsible for obtaining any consent or providing any notice required by law.
13. Changes to the Platform and These Terms
We may modify, suspend or discontinue any part of the Platform at any time. We may also update these Terms from time to time. Material changes will be posted on this page with a revised effective date, and where appropriate we will provide additional notice. By continuing to use the Platform after the revised Terms take effect, you accept the updated Terms. If you do not agree, you must stop using the Platform.
14. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or the Platform are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Before commencing proceedings, the parties will attempt in good faith to resolve the dispute through written negotiation for at least thirty (30) days. If the dispute is not resolved, it will be submitted to the competent courts at the place where FineChem's operating entity is established, unless mandatory law requires otherwise. Nothing in this section prevents either party from seeking urgent injunctive relief.
15. General
- Entire agreement: These Terms, together with the Privacy Policy and any additional terms displayed for specific features, constitute the entire agreement between you and us regarding the Platform.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or transfer of assets.
- Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
